ART Ghana Non-Disclosure and Service Agreement — v1.0 June 2026

This Agreement is entered into between Academy for Research and Technology (ART Ghana), represented by Silas Asani Abudu, CEO, and the Consultant applying through this form.

1. Parties

Company: Academy for Research and Technology (ART Ghana). Consultant: the individual identified by the registration data entered on this form. Together: the "Parties."

2. Effective Date

This Agreement becomes effective on the date of account creation and remains in force for the duration of engagement plus 12 months thereafter.

3. Confidentiality Obligations

The Consultant shall not disclose to any third party: client identity or contact details; research topics, data, findings, or deliverables; ART Ghana pricing, methodology, or internal communications. This obligation survives termination.

4. Intellectual Property

All deliverables produced are the exclusive property of the commissioning client. The Consultant irrevocably waives all IP claims, including copyright and moral rights, over any work product.

5. Non-Solicitation

For 12 months post-engagement, the Consultant may not solicit, contact, or engage any ART Ghana client for services outside the platform, nor accept direct payment from any ART Ghana client.

6. Methodology Compliance

The Consultant agrees to follow ART Ghana approved methodology, not to misrepresent work, not to submit AI-generated content beyond policy limits, and to adhere to the client institution's academic integrity standards.

7. Platform Conduct

The Consultant agrees to: communicate professionally; meet deadlines; complete required training; accept QC outcomes; maintain accurate availability status; report conflicts of interest promptly.

8. Consequences of Breach

Breach may result in: immediate account suspension; permanent termination; withholding or clawback of earnings; legal action under Ghanaian law including claims for damages and injunctive relief.

9. Governing Law

This Agreement is governed by and construed in accordance with the laws of the Republic of Ghana. Disputes are subject to the exclusive jurisdiction of Ghanaian courts.
